These Terms & Conditions ("Terms") govern your use of WeLabelData's website (welabeldata.com) and services, including data annotation services and the Data Annotation Training Program in Ukraine.

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Acceptance of Terms

You accept these Terms by:

• Using our website or services
• Booking a consultation via Calendly
• Signing a service agreement for data annotation projects
• Applying to or participating in our education program
• Communicating with us via email or other channels

If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Data Annotation Services

3.1 Service Description

WeLabelData provides professional data annotation and preparation services for AI and machine learning projects, including:

• Image annotation (bounding boxes, polygons, segmentation, keypoints)
• Text annotation (NER, sentiment labeling, classification)
• Video annotation (tracking, event detection, action recognition)
• Audio annotation (transcription, sound classification, speaker identification)

3.2 Service Process

1. Consultation: Free initial consultation to understand your requirements
2. Test Batch: We process a free test batch of your data to evaluate complexity and time requirements
3. Proposal: We provide a detailed proposal with pricing, timeline, and deliverables
4. Agreement: Upon acceptance, we formalize the project with a service agreement
5. Execution: We perform the annotation work according to agreed specifications
6. Delivery: Annotated data is delivered in your preferred format

3.3 Pricing Model

Our data annotation services are priced at $5 USD per hour of work. The total project cost is calculated based on:

• Complexity of annotation tasks
• Volume of data to be annotated
• Required accuracy and quality standards
• Timeline and turnaround requirements

The exact cost for your project will be provided in a written proposal after evaluating the test batch.

3.4 Quality Assurance

We strive for 99%+ accuracy in our annotations through:

• Multi-stage quality control processes
• Experienced annotation team
• Clear guidelines and instructions
• Regular client feedback integration

4. Education Program Terms

4.1 Program Overview

The Data Annotation Training Program is a free pilot program conducted in partnership with Baobab (Japan) and supported by UNIDO (United Nations Industrial Development Organization) as part of a feasibility study.

4.2 Program Structure

• Live orientation session (approximately 1 hour via Google Meet)
• Self-paced training (approximately 20 hours of materials)
• Certificate of completion upon successful training
• Training materials provided in Ukrainian

4.3 Participant Eligibility

The program is designed for vulnerable groups in Ukraine, including but not limited to:

• People with disabilities
• Widowed individuals due to the war
• Single mothers
• Internally displaced persons (IDPs)
• Women

4.4 Important Disclaimers

Please note:

• This is a feasibility study, not a guaranteed employment program
• There is no payment or stipend during the training period
• There is no guaranteed job upon completion
• The training is provided at no cost to participants
• If the pilot is successful and the program expands, participants from the first group will be prioritized for future opportunities

4.5 Participant Obligations

By participating, you agree to:

• Provide accurate information in your application
• Complete the training to the best of your ability
• Attend the live orientation session or watch the recording
• Dedicate approximately 20 hours to self-paced training
• Follow instructions and maintain quality standards
• Provide feedback to help evaluate the feasibility of the program

4.6 Technical Requirements

Participants must have:

• A laptop or desktop computer (tablets such as iPad do not work)
• Stable internet connection
• Basic ability to use Google Meet
• Willingness to spend approximately 20 hours on training

5. User Obligations

When using our services, you agree to:

• Provide accurate and complete information
• Use our services only for lawful purposes
• Not misuse or attempt to disrupt our website or services
• Respect intellectual property rights of all parties
• Maintain confidentiality of sensitive information
• Comply with all applicable laws and regulations

6. Intellectual Property Rights

6.1 Client Data Ownership

For data annotation services:

• You retain all rights to your source data
• You own all rights to the annotated output data
• We do not claim ownership of your data or annotations
• We may use aggregated, anonymized data for quality improvement

6.2 WeLabelData Intellectual Property

All content on our website, including but not limited to text, graphics, logos, and software, is the property of WeLabelData and is protected by intellectual property laws.

6.3 Training Materials

For the education program:

• Training materials are provided by Baobab and WeLabelData
• Materials are licensed for educational use only
• Participants may not redistribute, sell, or commercialize the training materials
• Certificates of completion remain valid proof of training

7. Confidentiality

7.1 Client Confidentiality

We understand that client data is sensitive. We commit to:

• Treating all client data as confidential
• Not disclosing client data to third parties without consent
• Implementing appropriate security measures
• Having team members sign confidentiality agreements

7.2 Mutual Non-Disclosure

For commercial projects, we can enter into a separate Non-Disclosure Agreement (NDA) upon request.

8. Pricing and Payment

8.1 Data Annotation Services

• Hourly Rate: $5 USD per hour of work
• Test Batch: Free of charge
• Invoicing: As agreed in the project proposal (typically upon completion or in milestones)
• Payment Terms: As specified in the service agreement
• Currency: USD (unless otherwise agreed)

8.2 Education Program

The training program is completely free. There are no fees, no hidden costs, and no payment required.

9. Limitation of Liability

9.1 Service "As Is"

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

9.2 Limitation of Damages

To the maximum extent permitted by law:

• WeLabelData shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability for any claim shall not exceed the amount paid by you for the specific service in question
• For the free education program, our liability is limited to the maximum extent permitted by law

9.3 Exceptions

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under applicable law

10. Termination

10.1 By You

You may terminate your use of our services at any time by:

• Ceasing to use our website
• Notifying us in writing to cancel a service agreement (subject to the terms of that agreement)
• Withdrawing from the education program

10.2 By Us

We may suspend or terminate your access to our services if:

• You breach these Terms
• You provide false or misleading information
• You engage in unlawful or harmful conduct
• We are required to do so by law

10.3 Effect of Termination

Upon termination:

• Your right to use our services ceases immediately
• We will complete any ongoing paid projects or arrange for appropriate handover
• Provisions regarding confidentiality, intellectual property, and liability survive termination

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles.

For international clients, we may agree to alternative dispute resolution mechanisms in the service agreement.

Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to the competent courts of Ukraine.

12. Changes to Terms

We may update these Terms from time to time to reflect:

• Changes in our services or business practices
• Legal or regulatory requirements
• Improvements to clarity or comprehensiveness

When we make significant changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify active clients via email
• Display a notice on our website

Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.
